Thai Business Law for Foreign and Thai Business Owners
Siam Center Law Group advises foreign and Thai business owners in Thailand on company structure (including nominee and BOI questions), contracts, commercial disputes and compliance. A licensed Thai lawyer explains the risks in plain English before you commit, and handles the Thai-language work.
Problems we handle
- Company set-up and structure: choosing a structure, Thai shareholder and nominee risks under the Foreign Business Act B.E. 2542 (1999), BOI and treaty options to discuss
- Nominee and shareholding problems: a “51/49” company where the Thai shareholder exists only on paper, or police or DBD inquiries
- Contracts: drafting and reviewing sale, supply, service, lease, distribution, employment and shareholder agreements, in English and Thai
- Commercial disputes: unpaid invoices, breach of contract, partner and shareholder disputes, from demand letter to court (see Civil Litigation)
- Licences and compliance: hotel and accommodation licensing, work permits and visas for business owners and staff
- Employment issues: termination, severance and Labour Court claims under the Labour Protection Act
- Property-related business matters: leases and due diligence for business premises

- A short summary: what the business does, who is involved and what you want to achieve
- Company documents: affidavit/company certificate, shareholder list (Bor Or Jor 5), Memorandum and Articles
